Organizational Model Pursuant to Legislative Decree 231/2001
Legislative Decree No. 231/2001 introduced into the Italian legal system the administrative liability of legal entities for certain criminal offenses committed in their interest or to their benefit by individuals in senior management positions or by persons subject to their supervision and control.
In alignment with the principles of ethical corporate governance and regulatory compliance, the Board of Directors of IES Srl has formally adopted an Organizational, Management, and Control Model (comprising a General Section and a Special Section). This Model establishes a comprehensive framework of internal rules and protocols designed to define the company’s organizational structure and to govern the management of activities deemed sensitive from a compliance perspective.
To ensure the effective implementation of the Model, IES Srl has also appointed a Supervisory Body ("Organismo di Vigilanza") endowed with autonomous powers of initiative and control, entrusted with the responsibility of monitoring the functionality, effectiveness, and compliance with the Model, as well as promoting its ongoing refinement and alignment with evolving legal and regulatory requirements.
Code of Ethics
In conducting its business operations, IES Srl places the highest value on ethical integrity, transparency, and accountability. These principles serve not only as fundamental cornerstones of corporate conduct but also as guiding standards for all internal and external stakeholders.
The Code of Ethics articulates the ethical values and general standards of behavior that govern the activities of IES Srl. These standards are complementary to applicable legal, regulatory, and contractual obligations and reflect the company’s commitment to fostering a culture of respect, fairness, and corporate responsibility within the broader community in which it operates.
Whistleblowing Policy
IES Srl is committed to promoting a corporate environment characterized by ethical conduct and strict adherence to applicable laws and regulations.
The company recognizes that the timely reporting of suspected misconduct or violations of law is critical to mitigating risks and ensuring the integrity of corporate operations. For this reason, IES Srl has established internal reporting channels that allow employees, collaborators, and other stakeholders to confidentially report any unlawful behavior or violations of the company’s Organizational Model, Code of Ethics, or corporate policies.
All reports are handled with the utmost confidentiality, and IES Srl guarantees protection against any form of retaliation for whistleblowers and other protected parties, in full compliance with applicable legal and regulatory provisions, including those set forth under national and EU law.
